Ian McDaniel focuses his expertise on advising emerging companies and small and mid-size businesses in corporate formation, governance, debt and equity financings, mergers, acquisitions, and outside general counsel services.

Ian represents companies and investors in early-stage emerging growth financing transactions, including investor due diligence, companies and executives in equity compensation matters, and shareholders and companies in change of control transactions. Along with other Venture LLP attorneys, he serves as outside general counsel to many of North County’s most recognizable small businesses.

Ian is particularly experienced in the formation and governance of professional partnerships and corporations. Among his professional clients are firms practicing law, accounting, architecture, engineering, medicine, physical therapy, nursing, chiropractic, and psychology.

Ian’s business, family, and time away from the office are centered in Carlsbad. His close ties to the North County community enable him to connect his clients with the best business professionals and to help his clients gain access to difficult-to-penetrate industries. Many of his clients are or become his fellow surfers, skateboarders, coffee companions, concertgoers, and food and wine aficionados. As part of his commitment to his native Carlsbad and North County, Ian is a Director and the immediate past Chairman of the Agua Hedionda Lagoon Foundation, a Director of the Carlsbad Educational Foundation, and a founder of North County Board Meeting. He is also a member of the Penn Law Alumni Society, the San Diego Bar Association, Rotary Club of Carlsbad Hi-Noon, and a founding member of BDG.
